Seminar: Community Bank Buying and Selling

07/31/2013 - 08/01/2013

Mackinac Island, MI

A new merger and acquisition environment is upon us. More financial institutions are looking to be buyers or sellers in the traditional sense, but there are scores of new techniques and issues compared to the last acquisition wave. This new workshop will focus on the changed regulatory environment as well as changed pricing and new techniques for buyers and sellers. It will also discuss the basic mechanics of transactions and pricing and the traditional steps to take to position your bank to be a buyer or seller. This program is intended to be a hands-on workshop that looks at actual acquisition agreements, outlines steps for boards of directors to take to exercise fiduciary duties and covers financial, accounting and tax issues. Likewise, this session will provide one-on-one private consultation opportunities to discuss your unique needs and concerns with the professionals.

  • How the new regulatory environment impacts buyers and sellers
  • How to determine what your bank is worth
  • How to determine how much to pay for a target institution
  • Steps boards should take as a buyer or seller
  • Key mistakes to avoid as a buyer or seller
  • How to ensure value for your stockholders
  • Hands on financial analysis of sample deals
